1. Agreement to these Terms

These Terms of Service ("Terms") are a legal agreement between you and Hello Hong Bao LLC ("Hello Hong Bao", "we", "us") that govern your access to and use of:

By accessing or using the service, you agree to be bound by these Terms and our Privacy Policy at https://hellohongbao.com/privacy-policy. If you do not agree, do not use the service.

You are entering this agreement with Hello Hong Bao LLC, a Florida limited liability company.

2. Eligibility

To use the service as a registered user (for example, to create or manage vendor listings, wedding websites, or guest lists), you must:

• Be at least 18 years old
• Be able to form a binding contract with us under applicable law
• Not be prohibited from using the service under any applicable laws

If you use the service on behalf of a company or organization, you represent and warrant that you have authority to bind that entity, and "you" refers to both you and the entity.

Organizers may use the service to manage events that include guests under 18 (for example, children attending a wedding), but those guests do not create accounts and are not "users" under these Terms.

3. Accounts and security

Some features may require you to create an account, for example to create or manage vendor listings, wedding websites, or guest lists.

You agree to:

• Provide accurate, current, and complete information
• Keep your login details secure and not share them with others
• Notify us promptly if you suspect unauthorized access to your account

You are responsible for all activity that occurs under your account.

We reserve the right to refuse registration, cancel accounts, or reclaim usernames or listing URLs if we believe it is appropriate and lawful.

4. Description of the service

Hello Hong Bao provides online tools for:

• Discovering and contacting wedding vendors through a directory
• Allowing vendors to create and manage their own directory listings
• Allowing organizers (such as couples or their planners) to create and manage wedding websites and event pages
• Managing guest lists, tracking RSVPs, and collecting guest preferences
• Creating and sending digital invitations, reminders, and related communications
• Supporting workflows for paper invitations (such as managing addresses or recording responses)
• Other tools and services for wedding planning that we may add in the future

Vendor listings, wedding websites, and event content are primarily created and managed by users (for example, vendors, organizers, or their collaborators). They are responsible for their own content.

We may modify, add, or remove features at any time. We do not guarantee that the service, any particular feature, or any content will always be available, error free, or meet every need. Some features may be labeled as beta or experimental and may change or stop working without notice.

Vendor listings and other content may include prices, availability, descriptions, and policies. This information is provided by third parties and may be inaccurate, incomplete, or out of date. You are responsible for verifying all details directly with vendors or other parties before making decisions.

We are not a party to contracts between vendors and clients, or between organizers and guests. Vendors are independent third parties, and any services they provide are solely their responsibility. You are responsible for your own decisions and arrangements with vendors and other third parties.

6. Payments, subscriptions, and refunds

This section applies if you purchase paid features, listings, or subscriptions from us.

Pricing

• Prices and available plans are described on our website or in the service.
• We may change prices and plans, and will give notice where required by law.

Billing and auto renewal

• If you sign up for a subscription or recurring listing, you authorize us (or our payment processor) to charge you the applicable fees plus any taxes, at the intervals stated, until you cancel.
• You can cancel a subscription through your account settings or by contacting us at support@hellohongbao.com . Cancellations usually take effect at the end of the current billing period unless otherwise stated.

Refunds

• Except where we explicitly state otherwise in an offer, or where required by law, all fees are non refundable.
• If a specific plan, promotion, or free trial includes a refund or cancellation policy, that specific policy will apply and will be described at the time of purchase.

Third party fees

• You are responsible for any fees charged by your bank, card issuer, payment provider, or other third parties.

7. Intellectual property

The service, including all content and materials other than User Content, is owned by Hello Hong Bao LLC or our licensors and is protected by copyright, trademark, and other laws.

This includes:

• Software, code, and infrastructure
• Design, layout, graphics, logos, and branding
• Text, images, and other content created by us

Subject to these Terms, we grant you a limited, non exclusive, non transferable license to access and use the service for your personal or internal business use.

You may not:

• Copy, modify, or create derivative works of the service
• Reverse engineer or attempt to extract source code except where permitted by law
• Remove or alter any copyright, trademark, or other proprietary notices
• Use our trademarks or branding without our prior written permission

The service may link to or integrate with third party services, such as payment processors, analytics tools, or other platforms.

We do not control and are not responsible for third party services. Your use of those services may be subject to separate terms and privacy policies, which you should review.

We are not responsible for any content, products, or services provided by vendors listed in the directory or by any third parties.

9. Termination

You may stop using the service at any time.

You can request account or listing deletion by contacting us at support@hellohongbao.com or using any account tools we provide.

We may suspend or terminate your access to all or part of the service if:

• You violate these Terms or our other policies
• We believe your use creates risk or potential legal exposure for us or others
• We are no longer able to provide the service for business or legal reasons

If we terminate your account, we will try to give you reasonable notice where practical, unless we believe immediate action is needed for legal or safety reasons.

Upon termination, your right to use the service will end. Certain provisions of these Terms will continue to apply, including those relating to intellectual property, disclaimers, limitation of liability, and dispute resolution.

10. Disclaimers

To the maximum extent permitted by law, the service and all content available through the service are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.

We specifically disclaim any and all implied warranties, including:

• Implied warranties of merchantability
• Implied warranties of fitness for a particular purpose
• Implied warranties of title and non infringement
• Any warranties arising out of course of dealing or usage of trade

Without limiting the above, we do not warrant that:

• The service will be uninterrupted, secure, or error free
• Any defects or errors will be corrected
• Any content, including vendor listings or event information, will be accurate, complete, or up to date
• The service will meet your expectations, requirements, or intended use

Vendor listings, reviews, wedding websites, event pages, and other user generated content are provided by third parties. We do not control and are not responsible for that content. We do not endorse, guarantee, or monitor any vendor, service, product, or event.

You are solely responsible for your use of the service and for evaluating any information, vendor, or third party you interact with through the service. You should conduct your own checks and due diligence before relying on any information or entering into any agreement.

Some jurisdictions do not allow the exclusion of certain warranties. In those places, the above exclusions will apply only to the extent permitted by law.

11. Limitation of liability

To the maximum extent permitted by law:

• Hello Hong Bao LLC, its affiliates, and their officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data, whether incurred directly or indirectly, arising out of or in connection with the service or these Terms, even if we have been advised of the possibility of such damages.
• To the extent we provide any part of the service to you free of charge (including free vendor listings, free access to the directory, free guest access, free wedding websites, or free trials), we will have no liability to you arising out of or relating to that free use, except where such a limitation is prohibited by applicable law.
• For services you pay us for, our total liability for all claims arising out of or relating to the service or these Terms will not exceed the total amount you paid us for the service during the twelve (12) months before the event that gave rise to the claim.

Different legal theories can apply to a claim (for example, contract, tort, negligence, strict liability). The above limitations and exclusions apply to all legal theories.

Some jurisdictions do not allow certain limitations or exclusions of liability. In those places, the above limitations will apply only to the extent permitted by law. Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Hello Hong Bao LLC, its affiliates, and their officers, directors, employees, and agents from and against any claims, demands, disputes, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal and accounting fees) arising out of or related to:

• Your use or misuse of the service
• Your User Content, including any listing, website, event content, or communications you create or send
• Your violation of these Terms or any other policies we reference
• Your violation of any law or the rights of any third party

If you are a vendor, you also agree to indemnify and hold us harmless from any claims arising out of or related to:

• Your vendor listing, profile, or marketing materials on the service
• Services you provide (or fail to provide) to clients or guests
• Any incorrect, incomplete, or misleading information you publish through the service
• Your separate contracts or dealings with clients, guests, or other third parties

We may choose to handle the defense of any matter that is otherwise subject to your indemnification. If we do, you will cooperate with us in that defense and follow reasonable requests in connection with it.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law rules.

Any disputes arising out of or relating to these Terms or the service will be resolved in the state or federal courts located in or serving Sarasota County, Florida, and you consent to the jurisdiction of those courts, unless applicable consumer protection law gives you a right to bring disputes in a different jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. When we do:

• We will change the "Last updated" date at the top of this page, and
• We may provide additional notice, such as by email or in service notification, where required by law

If you continue using the service after updated Terms take effect, you agree to the updated Terms.
