Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Hello Hong Bao LLC ("Hello Hong Bao," "we," "us," or "our") and govern your access to and use of our website, directory, wedding and event planning tools, invitation and RSVP tools, and related services that link to these Terms (collectively, the "Services").

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services as a registered user.

If you use the Services on behalf of a business or other entity, you represent that you have authority to bind that entity, and "you" includes both you and that entity.

3. Accounts

Some features require an account. You agree to provide accurate, current, and complete information and to keep your login credentials secure.

You are responsible for activity that occurs under your account. You must promptly notify us if you suspect unauthorized access to your account.

We may suspend, restrict, or terminate accounts, usernames, or listing URLs if we believe it is appropriate, necessary, or lawful to do so.

4. The Services

Hello Hong Bao provides online tools for things like:

  • vendor discovery and directory listings;

  • wedding websites and event pages;

  • guest list and RSVP management;

  • invitations, reminders, and related communications; and

  • related wedding and event planning tools.

We may modify, suspend, or discontinue any part of the Services at any time.

The Services may include content provided by users, including vendors, organizers, guests, and other third parties. We do not guarantee that user-provided content is accurate, complete, or up to date.

We are not a party to agreements between vendors and clients, organizers and guests, or other users and third parties. Vendors and other third parties are solely responsible for their own services, content, pricing, availability, and conduct.

5. User Content

"User Content" means content you upload, submit, create, send, or otherwise make available through the Services, including listings, profiles, photos, text, guest information, RSVP data, event content, invitations, and messages.

You retain ownership of your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, modify, display, distribute, and otherwise use that User Content as needed to operate, improve, and provide the Services.

You represent and warrant that:

  • you have the rights and permissions needed to submit the User Content;

  • your User Content does not violate any law or the rights of any person or entity;

  • your User Content is not misleading or fraudulent; and

  • where required, you have permission to provide personal information or images relating to other people.

You are solely responsible for your User Content and for your interactions with vendors, clients, guests, and other users.

We may review, remove, restrict, or refuse User Content at any time if we believe it may violate these Terms, applicable law, or create risk for us or others.

6. Prohibited Conduct

You agree not to:

  • violate any law or regulation;

  • infringe the intellectual property, privacy, publicity, or other rights of others;

  • upload malicious code, spam, or harmful content;

  • harass, abuse, threaten, or impersonate others;

  • post false, deceptive, or misleading information;

  • attempt to gain unauthorized access to accounts, systems, or data;

  • interfere with the security or operation of the Services;

  • scrape, crawl, copy, or harvest the Services in a way that exceeds normal permitted use or circumvents technical protections; or

  • use the Services to send unlawful, deceptive, or unsolicited bulk communications.

If you use the Services to send invitations or other communications, you are responsible for complying with applicable messaging, marketing, privacy, and anti-spam laws.

7. Payments

This section applies only if you purchase a paid feature, subscription, or listing.

Prices, plans, and billing terms will be shown at the time of purchase. By purchasing a paid Service, you authorize us or our payment processor to charge the applicable fees and taxes.

Unless we state otherwise, paid subscriptions renew automatically until canceled.

Unless required by law or expressly stated otherwise, fees are non-refundable.

We may change prices or plans in the future. Any change will apply prospectively.

8. Intellectual Property

The Services, including our software, design, branding, text, graphics, and other content other than User Content, are owned by Hello Hong Bao LLC or our licensors and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal or internal business use.

You may not copy, modify, distribute, reverse engineer, create derivative works from, or otherwise exploit the Services except as expressly allowed by these Terms or by law.

9. Third-Party Services

The Services may contain links to or integrations with third-party websites, tools, payment processors, or other services.

We do not control and are not responsible for third-party services, including listed vendors. Your use of third-party services is subject to their own terms and policies.

10. Suspension and Termination

You may stop using the Services at any time.

We may suspend or terminate your access to all or part of the Services at any time if:

  • you violate these Terms;

  • we believe your use creates risk, legal exposure, or harm; or

  • we decide to change or stop offering the Services.

Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive termination will survive, including sections relating to intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution.

11. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied.

We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, error-free, or that any content will be accurate, complete, or reliable.

You are solely responsible for evaluating vendors, listings, event information, and other content, and for making your own decisions and arrangements.

12. Limitation of Liability

To the maximum extent permitted by law, Hello Hong Bao LLC and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data, arising out of or related to the Services or these Terms.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount you paid us for the Services in the 12 months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

13. Indemnity

You agree to defend, indemnify, and hold harmless Hello Hong Bao LLC and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • your use of the Services;

  • your User Content;

  • your violation of these Terms; or

  • your violation of any law or the rights of another person or entity.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Services must be brought in the state or federal courts serving Sarasota County, Florida, and you consent to the personal jurisdiction and venue of those courts, except where applicable law gives you the right to bring a claim elsewhere.

15. Changes to these Terms

We may update these Terms from time to time. If we do, we will update the "Last updated" date above and may provide additional notice where appropriate.

By continuing to use the Services after updated Terms take effect, you agree to the revised Terms.
